After closing of the proposed transaction, Cepton will operate as a privately held indirect subsidiary of Koito in the U.S., with corporate headquarters in San Jose, CA. Cepton and Koito have partnered since 2017 to industrialize high-performance lidar solutions for mass-market automotive, smart infrastructure and industrial applications. The proposed transaction is poised to accelerate the commercialization of Cepton’s lidar technology through increased financial stability and scalability. The integration of Cepton through the proposed transaction is expected to enhance Koito’s capabilities in automotive sensing solutions with strengthened technology advancement, product offerings and market penetration into new verticals. ("Cepton" or the "Company") (Nasdaq: CPTN), a Silicon Valley innovator and leader in high performance lidar solutions, announced today that it has signed a definitive agreement (the "Agreement") providing for the acquisition by KOITO MANUFACTURING CO., LTD. ("Koito") (TSE: 7276), a leading automotive tier one supplier, of all of the outstanding capital stock of the Company not owned by Koito for $3.17 per share in an all-cash transaction. Cepton stockholders will receive $3.17 per share in cash, which represents a premium of approximately 25.3% to the closing price as of Friday, July 26, 2024. The material terms of the transaction will be described in Cepton’s current report on Form 8-K, which will be filed with the Securities and Exchange Commission today. The proposed transaction will complement Koito’s existing sensor technology roadmap, while providing Cepton with the financial stability and scalability that are crucial to the commercialization of its lidar technology. It’s a higher-risk high-reward pick, and investors should consider GRRR stock accordingly. That said, some analysts have suggested that Gorilla could have a breathtaking upside. Not only is it involved in the fast-growing IoT space, it could also benefit from the current AI investment cycle. And it has secured partnerships with large firms such as telecom firm BT Group (OTCMKTS:BTGOF). The company offers a range of different lidar camera systems with all sorts of form factors to ideally suit various client needs. CPTN stock has sunk over the past year amid the slowdown in the electric vehicle space. Traditionally, investors have associated lidar companies with EVs and little else. However, that may be a mistake as lidar will be a piece of the broader digital revolution. Cities are already implementing lidar-based solutions to improve pedestrian safety at intersections and future implementations should include improved traffic management and efficiency as the technology continues to improve and become more affordable. Cepton, for its part, is small and unprofitable. However, it is enjoying rapid growth. The company’s revenues jumped from just $2 million in 2020 to $13 million last year, and analysts see that rocketing to $21 million this year. Since the start of the year, CDXS lost just over 55% of equity value. In the past 365 days, it gave up just under 71%. Therefore, it’s not one of the AI stocks to buy lightly. Still, it could be the next Nvidia in the applied sciences industry. Financially, Codexis prints a three-year revenue growth rate (per-share basis) of 20.5%. Still, it only trades at 1.52x sales, below 89.46% of its biotech peers. And while its IV curve indicates risk mitigation, options traders seem bullish. About the only good thing in its financials is the growth narrative. Featuring a three-year top line expansion of 21.1%, this metric beats out 86.78% of the company’s rivals. However, it gets ugly from there, with negative margins and an overall distressed enterprise. That said, analysts peg CPTN as a strong buy with a $2.35 price target, implying nearly 411% upside potential. Adding to the risks, Cepton carries so-so stability in its balance sheet. Its Altman Z-Score pings at 5.46, reflecting low bankruptcy risk. However, it’s taking on more debt than the typical enterprise within the industry. Still, Northland Securities’ Gus Richard forecasts CPTN hitting $4 a share. If so, this would imply a nearly 248% upside potential. If you can handle the inherent volatility and unpredictability, CPTN trades hands at a trailing multiple of 5.95. In contrast, the sector median stands at nearly 27 times. As a discount to earnings, Cepton rates better than over 95% of its rivals. Despite the obvious risks of engaging CPTN, Wall Street analysts don’t seem too worried. Currently, they peg it as a consensus moderate buy. Also, their price target of $3.33 implies an upside potential of over 154%.
